Sunniva - warm-lead service terms

17 October 2026

These general service terms apply to Sunniva's warm-lead service, in which the AI sales assistant Sunniva finds suitable companies for the customer, approaches them by e-mail and, when agreed, by phone, and delivers the interested contacts to the customer.

1. Scope and parties

1.1 These service terms apply to Sunniva's warm-lead service.

1.2 The service provider is Tabuloid Tmi (Tabuloid AI), business ID 2082986-0, sunniva@sunniva.fi (the "Provider"). The Provider delivers the service with the help of the AI sales assistant Sunniva.

1.3 The customer is a company that orders the service (the "Customer").

1.4 Matters that deviate from or supplement these terms may be agreed in writing when the service is ordered. Such an agreed term takes precedence over these service terms.

2. Definitions

3. Content of the service

3.1 The Provider finds suitable prospects for the Customer, approaches them by e-mail and, when agreed, by phone, and delivers the warm leads to the Customer.

3.2 Before the first sending, the parties specify together the Customer's sales proposition, target group and message template. The Customer approves the message template before it is used.

3.3 Sunniva may apply and adjust the approved message template prospect by prospect, for example to the prospect's industry or situation. The main purpose of the message and the agreed sales proposition remain unchanged. Material changes to the message template are agreed with the Customer.

3.4 The Customer may provide an exclusion list (for example existing customers or competitors). The exclusion list is voluntary. Companies on the list are not approached.

3.5 The Provider responds to prospects' replies as a rule during the same business day and at the latest on the following business day. When a prospect becomes a warm lead, it is delivered to the Customer within the same time.

3.6 After the lead has been delivered, the Customer continues the conversation. Sunniva tells the lead that the Customer's representative will be in touch and does not continue the sales conversation on the Customer's behalf.

3.7 The service is delivered in batches whose target size is agreed in the order (for example 20 warm leads). When a batch is complete or the parties consider it ended, a new batch is started only with the Customer's confirmation.

3.8 A warm lead is delivered only to the Customer in whose offering the lead has expressed an interest. The lead is not used in other customers' services.

3.9 When agreed with the Customer, Sunniva makes a follow-up call to approved prospects to whom a message has been sent. At the start of the call Sunniva states that it is an AI and that it represents the Customer. A prospect's request not to be called again is honoured immediately. Calls are not invoiced separately; a warm lead arising from a call is invoiced according to the definition in section 2.

4. Representing the Customer

4.1 Sunniva sends the messages from the Provider's own address (sunniva@sunniva.fi). The Customer's e-mail, credentials or systems are not used, and the Customer does not grant access to them. Calls are made from the Provider's own number.

4.2 In its messages Sunniva introduces itself as an AI sales assistant representing the Customer. Sunniva's AI nature is stated openly in messages and calls, and this is not departed from at the Customer's request. How and at which point the Customer's name is mentioned is agreed in the message template.

4.3 Sunniva does not make commitments, offers, price promises or contracts on the Customer's behalf. Offers and deals are always made by the Customer itself.

4.4 The Customer is responsible for the accuracy of the offering and the sales proposition described in the message template.

4.5 The Customer contacts a delivered warm lead within a reasonable time. The lead has replied to Sunniva, which represents the Customer, so failing to respond damages the reputation of both parties.

5. Information delivered to the Customer

5.1 About prospects the Customer learns only the company name. The Provider delivers the prospect list to the Customer for approval before any contact is made, by default as an Excel file. At the approval stage only company names are shown, not message drafts, sales propositions or the names of contact persons. Contact is made only with prospects approved by the Customer. In addition, the Customer may make a claim about a delivered lead in accordance with clause 6.4.

5.2 About warm leads the Customer receives the message sent to the prospect, the warm lead's reply and the contact details of the interested contact person.

5.3 Weekly summary: the Customer receives a weekly summary of the numbers of messages sent and replies received and the names of the companies approached. The summary contains no names of persons or other personal data.

5.4 The Provider does not hand over the credentials of its mailbox to the Customer, nor any messages other than those of warm leads.

6. Prices and invoicing

6.1 The price of the service is agreed with the Customer in writing before work begins.

6.2 Only delivered warm leads are invoiced. Finding prospects, unsuccessful contacts and negative replies are not invoiced. The basis for invoicing is the warm lead's reply to Sunniva. The later course or outcome of the negotiation between the Customer and the lead does not affect invoicing.

6.3 If the agreed batch (for example 20 leads) is not completed, the warm leads actually delivered are invoiced.

6.4 Within 7 days of the delivery of a lead, the Customer may notify the Provider that the lead does not meet the definition in section 2 (for example the respondent did not express interest, the company is already the Customer's customer or on the exclusion list, or the same company has been delivered before). Such a lead is not invoiced.

6.5 Invoicing takes place at the end of a batch or monthly, whichever comes first. The payment term is 14 days net. Interest on late payment is determined by the Finnish Interest Act.

7. Confidentiality of the Customer's information

7.1 The Customer's sales proposition, message template, exclusion list and other information concerning the Customer's business are confidential. They are used only to deliver the service to this Customer.

7.2 This information is not incorporated into the Provider's models, instructions, message templates or learnings, and it is not used in other customers' services or to train artificial intelligence.

7.3 Each party keeps confidential the confidential information received from the other party during the agreement and for 3 years after its termination. The confidentiality obligation does not apply to information that is public, that has been lawfully obtained from a third party, or whose disclosure is required by law.

7.4 After the agreement has ended, the Provider deletes the materials supplied by the Customer at the Customer's request, except for information that the law requires to be retained (for example accounting records).

8. Personal data

8.1 The Provider is an independent controller of the prospects' contact details that it collects and uses for making contact. The contacts are based on a legitimate interest in B2B marketing. Every message and call offers the possibility to decline further contact, and such requests are honoured immediately. The processing is described in more detail in Sunniva's privacy notice.

8.2 When a warm lead is delivered, the Customer becomes an independent controller of the lead's contact details. The Customer uses them only to respond to the interest expressed by the contact person. The Customer does not add the lead's contact details to its marketing lists without its own lawful basis and honours any objection the lead may have expressed.

8.3 The Provider retains the prospects' contact details and message threads only as long as delivering the service, honouring objections and statutory obligations require.

9. Results and limitation of liability

9.1 The Provider does not guarantee any particular number of warm leads, meetings or deals. Pricing is based on delivered leads, so the Customer does not pay for work without results.

9.2 The parties are liable only for direct damage. The Provider's total liability is limited to the amount invoiced from the Customer under the agreement during the preceding 3 months. Indirect damage, such as lost profit, is not compensated. The limitations do not apply to damage caused intentionally or by gross negligence.

9.3 Neither party is liable for a delay caused by force majeure.

10. Term of the agreement

10.1 The agreement is formed when the Customer orders the service and accepts these service terms in writing or by e-mail.

10.2 The agreement is valid until further notice. Either party may terminate it with 14 days' written notice. Warm leads already delivered are invoiced.

10.3 Either party may rescind the agreement if the other party materially breaches it and does not remedy the breach within 14 days of being notified.

11. Other terms

11.1 The Provider may update these service terms. Changes are notified to the Customer by e-mail at least 30 days before they take effect, and the Customer may terminate the agreement before the change takes effect.

11.2 The agreement is governed by the laws of Finland. Disputes are primarily resolved by negotiation and otherwise in the district court of the Provider's domicile.
